Terms of Service

These terms govern your use of this website and set out the ground rules for engagements with AgentPraetorian, a service of Hyams Digital Solutions ("we", "us").

This site is information, not an offer

Everything here describes our services and our approach. The work we do for you, what it costs and what it includes are defined in a written proposal and agreement signed by both of us, and that agreement governs if it says anything different from this page.

What we commit to

We commit to a defined process: a written job for every agent that you approve before it is built, approval gates on actions with real-world effects, a record of the actions the agents take, and a period of supervised running before agents work on their own.

What we do not promise

AI agents can be wrong. They can misread a document, draw a poor conclusion or produce a draft that needs correcting, which is why consequential actions wait for a person. You remain responsible for the decisions you approve. We make no guarantee about time saved, cost avoided, revenue or any other business outcome.

What you own

• Your data, content and the material you supply remain yours.
• The outputs the agents produce for you are yours.
• Access you grant us is yours to revoke at any time.

Our own reusable tooling, frameworks and templates remain ours. Your agreement sets out what you may keep using, and on what terms, if the engagement ends.

What we need from you

Agents stall on access and on decisions, not on effort. You agree to provide timely access to the systems the work requires, to name the people who approve what the agents do, and to review the output during supervised running.

Fees

Fees, their schedule and their payment terms are set out in your agreement. Recurring work continues until either side ends it under the notice terms in that agreement.

Ending an engagement

Either side may end a recurring engagement under the notice terms of the agreement. When it ends, we return or delete your data as the agreement specifies and revoke the access you granted. Fees for work already performed remain payable.

Third-party services

The agents depend on services we do not operate, including AI model providers, hosting, and the systems you connect them to. We are not responsible for their outages, policy changes or pricing, though we will work with you when one of them causes a problem.

Acceptable use

You agree not to use our services for unlawful purposes, spam, deceptive communications, infringement of anyone's rights, or decisions that the law requires a person to make without automated assistance. We may end an engagement that does.

Limitation of liability

To the extent the law allows, our total liability arising out of an engagement is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect, incidental or consequential damages, including lost profits or lost data.

Governing law

These terms and any engagement are governed by the laws of the State of Tennessee, United States, without regard to its conflict of laws rules.

Changes

We may update these terms. Material changes get a new effective date at the top of this page. Changes do not alter a signed agreement already in effect.
